Agreement to Terms

Welcome to Grafite. These Terms of Service ("Terms") govern your access to and use of the Grafite application, website, and related services (collectively, the "Service") provided by Grafite ("we," "us," or "our").

By creating an account or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

Description of Service

Grafite is an AI-powered meeting notes application that helps you:

Record audio from your meetings (with your system's microphone and/or system audio)
Automatically transcribe recorded audio using AI
Generate AI-powered summaries and meeting notes
Organize and search your meeting content
Sync with your Google Calendar
Track tasks and action items from meetings

Account Registration

To use Grafite, you must:

Be at least 16 years of age
Create an account using Google OAuth
Provide accurate and complete information
Maintain the security of your account credentials
Promptly notify us of any unauthorized access

You are responsible for all activities that occur under your account.

Recording Consent & Compliance

IMPORTANT: When using Grafite's recording features, YOU are responsible for:

Obtaining consent from all participants before recording any meeting or conversation
Complying with applicable laws regarding recording, including state and federal wiretapping laws
Understanding that some jurisdictions require all-party consent (meaning everyone being recorded must agree)
Informing participants that their audio may be transcribed and summarized by AI

Grafite provides the technology; you are solely responsible for using it legally and ethically. We strongly recommend announcing that you are recording at the start of any meeting.

By using our recording features, you represent and warrant that you have obtained all necessary consents and are complying with all applicable laws.

Acceptable Use

You agree NOT to:

Record conversations without proper consent
Use the Service for any illegal purpose
Upload content that is harmful, threatening, abusive, or harassing
Attempt to gain unauthorized access to our systems
Interfere with or disrupt the Service
Reverse engineer or attempt to extract source code
Use the Service to develop competing products
Resell or redistribute the Service without authorization
Violate the intellectual property rights of others
Use automated systems to access the Service (bots, scrapers)

Your Content

Ownership: You retain all rights to the content you upload, record, or create using Grafite, including your recordings, transcripts, notes, and any other materials ("Your Content").

License to Us: By using our Service, you grant us a limited license to store, process, and transmit Your Content solely for the purpose of providing the Service to you. This includes sending audio to AI providers for transcription and summarization.

Responsibility: You are solely responsible for Your Content and ensuring you have the right to upload and process it.

AI-Powered Features

Grafite uses third-party AI services to provide transcription and summarization features:

Groq (Whisper): For audio transcription
Google Gemini: For AI summarization and note generation

Enterprise Agreements: We have enterprise license agreements with our AI providers that prohibit them from using your data to train their models. Your content is processed solely to provide you with transcriptions and summaries.

AI Limitations: AI-generated content may contain errors, inaccuracies, or misinterpretations. You should review all AI-generated content before relying on it for any important purpose.

Intellectual Property

The Service, including its design, features, and code, is owned by Grafite and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our Service without explicit permission.

"Grafite" and our logo are trademarks. You may not use them without our prior written consent.

Payment Terms

During our Alpha phase, Grafite is provided free of charge. In the future, we may introduce paid plans with additional features. We will provide reasonable notice before implementing any paid services.

If and when paid plans are introduced:

Prices will be clearly displayed before purchase
You authorize us to charge your payment method for the agreed fees
Refunds will be handled according to our refund policy (to be published)
We may change prices with 30 days' notice

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

The Service will be uninterrupted or error-free
AI-generated transcriptions or summaries will be accurate
The Service will meet your specific requirements
Your data will never be lost (please keep your own backups for critical information)

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRAFITE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total liability for any claims arising from your use of the Service is limited to the amount you have paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

Indemnification

You agree to indemnify, defend, and hold harmless Grafite and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any third-party rights, including recording consent requirements
Your Content

Termination

By You: You may stop using the Service and delete your account at any time through the Settings page.

By Us: We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include violation of these Terms, illegal activity, or extended periods of inactivity.

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnification, and limitations of liability.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

Updating the "Effective Date" at the top of this page
Sending an email notification for significant changes
Displaying an in-app notification

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that you may bring claims in small claims court if eligible.

Class Action Waiver: You agree to resolve disputes individually and waive any right to participate in a class action lawsuit or class-wide arbitration.

General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Grafite.
Severability: If any provision is found unenforceable, the remaining provisions shall remain in effect.
Waiver: Our failure to enforce any right or provision shall not constitute a waiver.
Assignment: You may not assign these Terms without our consent; we may assign them freely.
Notices: We may provide notices via email or through the Service.
